Parties to This Agreement
1.1 Service Provider
Odelya Management Pvt. Ltd., a company incorporated under the Companies Act, 2013 under the laws of India, with its registered office at Molina Apartment, 1st Floor, 32/10 Chandi Ghosh Road, Kolkata, West Bengal 700040, India (hereinafter referred to as "Service Provider", "we", "us", or "our").
1.2 The Client / User
Any individual, business entity, or organization accessing or using any service offered by Odelya Management Pvt. Ltd., including Odelya Cloud Digital Locker and Vooo AI Education, is referred to as the "Client", "User", "you", or "your".
1.3 Acceptance of Terms
By accessing, registering, or using any of our services, you confirm that you have read, understood, and agree to be fully bound by these Terms and Conditions and all applicable Indian laws. If you do not agree, please discontinue use immediately.
Definitions
2.1 Applicable Law
All statutes, laws, rules, regulations, ordinances, orders, codes, and guidelines of India, including but not limited to the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023 (DPDPA), the Consumer Protection Act, 2019, and all rules, notifications, and policies made thereunder, as amended from time to time.
2.2 Client Data
All data, information, files, documents, images, and content uploaded, stored, or processed by or on behalf of the Client using any of our Services.
2.3 Data Breach
Any unauthorized access, acquisition, disclosure, alteration, destruction, or loss of Client Data or Personal Data.
2.4 DPDPA
The Digital Personal Data Protection Act, 2023 enacted by the Government of India.
2.5 Personal Data
Has the meaning ascribed to it under the DPDPA — any data about an individual who is identifiable by or in relation to such data.
2.6 Services
All digital products and services offered by Odelya Management Pvt. Ltd., including Odelya Cloud Digital Locker, Vooo AI Education (AI-powered MCQ practice platform), SEN-AI Imaging Process, Cloud Guest Storage, and Odelya IT Services.
2.7 User
Any individual authorized by the Client, or directly accessing the Services, including free users, paid subscribers, and guest users.
Description of Services
3.1 Odelya Cloud Digital Locker
A secure cloud storage service providing end-to-end encrypted storage for personal and business files, documents, images, and media. Primary data centers are located in Kolkata, West Bengal, India.
3.2 Vooo AI Education
A free AI-powered online MCQ practice platform for students from Grade 1 to college level, offering millions of unique AI-generated questions in Mathematics, Logical Reasoning, General Knowledge, Science, English, and more. Free registered users receive 30 MCQs per day. Paid plan users receive unlimited access.
3.3 Other Services
SEN-AI Imaging Process (AI-powered photo search and management), Cloud Guest Storage (event photo storage for guests), and Odelya IT Services (IT solutions for individuals and businesses).
3.4 Service Modifications
We reserve the right to modify, update, suspend, or discontinue any service or feature at any time with reasonable notice. Paid subscribers will receive advance notice of any material changes affecting their paid plan.
Data Ownership & Security
4.1 Ownership of Client Data
Odelya Management Pvt. Ltd. acknowledges and agrees that, as between the Parties, the Client retains all right, title, and interest in and to all Client Data. We do not acquire any rights in Client Data, other than the limited license to host, store, and process Client Data as necessary to provide the Services.
4.2 Security Obligations
We implement and maintain appropriate technical and organizational security measures to protect Client Data, in accordance with Section 43A of the IT Act, 2000 (read with the Reasonable Security Practices and Procedures and Sensitive Personal Data or Information Rules, 2011) and the DPDPA, 2023. Our measures include:
- Encryption of Client Data in transit using secure TLS protocols
- Encryption at rest using AES-256 or equivalent standard
- Robust firewalls and intrusion detection/prevention systems
- Logical access controls with strict least-privilege principle
- Regular security testing and vulnerability assessments
- Secure and certified data disposal procedures
4.3 User Responsibility for Security
Users are responsible for maintaining the confidentiality of their login credentials, passwords, and authorized devices. You agree to immediately notify us at care.ompl@gmail.com if you become aware of any unauthorized use of your account.
4.4 Backup Responsibility
DPDPA 2023 Compliance & Data Processing
5.1 Roles Under DPDPA
For the purposes of the DPDPA 2023, the Client is the Data Fiduciary and Odelya Management Pvt. Ltd. is the Data Processor. The Client is responsible for ensuring a lawful basis for processing Personal Data and obtaining valid consent where required before transferring such data to us.
5.2 Processing Instructions
We shall process Personal Data only for the purpose of providing the Services and strictly in accordance with this Agreement and the Client's lawful instructions. We shall not process, transfer, or share such Personal Data for any other purpose.
5.3 Data Principal Rights
We shall assist the Client in fulfilling the Data Principal's rights under the DPDPA, including the right to access, correct, and erase Personal Data, and the right to withdraw consent. Requests may be submitted to our Grievance Officer at care.ompl@gmail.com.
5.4 Data Breach Notification
In the event of a Data Breach, we shall:
- Notify the Client without undue delay, and in any event within 24 hours of becoming aware of the breach
- Provide all necessary information and cooperation to enable reporting to the Data Protection Board of India
- Take immediate steps to contain, investigate, and mitigate the effects of the breach
5.5 Data Localization
Primary data centers used to store and process Client Data are located in Kolkata, West Bengal, India. Any cross-border data transfers shall be made in full compliance with the DPDPA 2023 and applicable Indian regulations.
5.6 Data Retention and Deletion
We retain Client Data for the duration of the active service subscription. Upon account closure or service termination, Client Data shall be securely deleted within 30 days unless a longer retention period is required by Applicable Law.
Service Level Agreement (SLA)
6.1 Uptime Commitment
Odelya Management Pvt. Ltd. commits to provide a 99.9% Monthly Uptime Percentage for its cloud storage services. Scheduled maintenance and Force Majeure events are excluded from uptime calculations.
6.2 Definition of Downtime
"Downtime" means any period when the Client is unable to read or write data to the primary storage platform due to a fault on the part of the Service Provider. Periods of scheduled maintenance notified in advance are not considered Downtime.
6.3 Service Credits for Downtime

6.4 Support Hours
Standard support is available via email at care.ompl@gmail.com during business hours: 10:00 AM – 6:00 PM IST, Monday to Friday, excluding public holidays.
User Terms & Obligations
7.1 Eligibility
Our services are available to individuals who are at least 13 years of age. Users below 18 years of age must use the services under the supervision and consent of a parent or legal guardian. By registering, you confirm that you meet these eligibility requirements.
7.2 Account Accuracy
You agree to provide accurate, complete, and current information during registration and to update such information as necessary. Providing false or misleading information is a violation of these Terms and may result in account termination.
7.3 Account Security
You are solely responsible for all activities that occur under your account. You agree to maintain the confidentiality of your password and to immediately notify us of any unauthorized access or security breach.
7.4 Acceptable Use
You agree to use our services only for lawful purposes and in a manner consistent with all Applicable Laws. You shall not use the services to harm, defraud, harass, or infringe on the rights of any person or entity.
Payments & Refund Policy
8.1 Pricing
All pricing for paid plans is displayed on our respective pricing pages. Prices are inclusive of applicable taxes unless stated otherwise. We reserve the right to change pricing with advance notice to existing subscribers.
8.2 Payment Processing
All payments are processed securely through our authorized payment partners. We do not store your payment card details on our servers. Service activation occurs within 24 hours of successful payment verification.
8.3 Refund Policy
All payments are generally non-refundable once a service plan has been activated. However, in exceptional cases such as technical failure on our part preventing service delivery, refund requests may be considered at our sole discretion. Refund requests must be submitted to care.ompl@gmail.com within 7 days of the issue.
8.4 Free Plans
Free plans (including Vooo AI Education free tier with 30 MCQs/day) are provided without charge and may be modified, limited, or discontinued at any time without prior notice or liability.
Prohibited Content & Activities
9.1 Prohibited Content
Users may not upload, store, share, or transmit any of the following through our services:
- Content that is illegal under Indian law or any applicable law
- Copyrighted content without proper authorization
- Malicious software, viruses, ransomware, or any harmful code
- Child sexual abuse material (CSAM) or any content exploiting minors
- Content promoting terrorism, violence, hatred, or discrimination
- Obscene, defamatory, or pornographic material
- Content that violates the privacy or personal rights of any individual
- Fraudulent, misleading, or deceptive content
9.2 Prohibited Activities
Users must not engage in any of the following activities:
- Attempting to gain unauthorized access to our systems or other users' accounts
- Using automated bots, scrapers, or crawlers without written permission
- Reverse engineering, decompiling, or attempting to extract our source code
- Using the services to send unsolicited communications (spam)
- Impersonating any person, organization, or entity
- Overloading our infrastructure or disrupting service for other users
9.3 Enforcement
Violation of these prohibitions will result in immediate account suspension or permanent termination without refund, and may be reported to appropriate law enforcement authorities as required by Indian law.
Termination of Service
10.1 Termination by User
Users may terminate their account at any time by contacting us at care.ompl@gmail.com. Upon termination, your access to the services will cease and your data will be deleted within 30 days in accordance with our data retention policy.
10.2 Termination by Odelya
We reserve the right to suspend or permanently terminate your account and access to all services without prior notice and without refund in cases including but not limited to:
- Violation of these Terms and Conditions
- Uploading or sharing prohibited content
- Non-payment of dues
- Fraudulent or illegal activity
- Actions that harm our systems, other users, or third parties
10.3 Effect of Termination
Upon termination, all licenses and rights granted to you under these Terms immediately cease. Provisions relating to data security, liability, governing law, and dispute resolution shall survive termination.
Limitation of Liability & Disclaimer
11.1 Limitation of Liability
To the maximum extent permitted by Applicable Law, Odelya Management Pvt. Ltd., its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with these Terms or the use of our Services.
11.2 Maximum Liability
Our total aggregate liability to any Client for all claims arising under these Terms shall not exceed the total amount paid by that Client to us in the three months immediately preceding the event giving rise to the claim.
11.3 Service Disclaimer
Our services are provided on an "as is" and "as available" basis. While we strive to provide accurate, uninterrupted service, we do not warrant that our services will be error-free, uninterrupted, or that any defects will be corrected. Vooo AI Education generates AI-powered content which may occasionally contain errors and should not be used as a sole source of academic preparation.
11.4 Force Majeure
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, power failures, internet disruptions, government actions, pandemics, or acts of God.
Intellectual Property
12.1 Our Intellectual Property
All content, software, technology, trademarks, logos, designs, and materials on our platforms — including Odelya Cloud Digital Locker, Vooo AI Education, and SEN-AI — are the exclusive intellectual property of Odelya Management Pvt. Ltd. and are protected under the Copyright Act, 1957 and the Trade Marks Act, 1999 of India.
12.2 Restricted Use
You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any of our intellectual property without our express written permission. Unauthorized use may result in civil and criminal liability under Indian law.
12.3 User Content License
By uploading content to our services, you grant Odelya Management Pvt. Ltd. a limited, non-exclusive, royalty-free license to store, host, and process that content solely for the purpose of delivering the Services to you. This license terminates upon deletion of your content or account closure.
Governing Law & Dispute Resolution
13.1 Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of India, including but not limited to the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, the Consumer Protection Act, 2019, and the Indian Contract Act, 1872.
13.2 Jurisdiction
Any disputes, claims, or controversies arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Kolkata, West Bengal, India.
13.3 Dispute Resolution Process
In the event of any dispute, the parties shall first attempt to resolve the matter amicably through written communication. If the dispute is not resolved within 30 days, either party may seek relief from the appropriate court in Kolkata.
13.4 Consumer Rights
Nothing in these Terms shall limit or exclude any rights you may have under the Consumer Protection Act, 2019 of India or any other applicable consumer protection legislation.

14.1 Grievance Officer
In compliance with the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Odelya Management Pvt. Ltd. has appointed a Grievance Officer to address any complaints or concerns regarding our services or data processing.

14.2 Grievance Resolution Timeline
We shall acknowledge your grievance within 24 hours and endeavor to resolve it within 30 days of receipt, in accordance with the IT Rules, 2021.
14.3 Updates to These Terms
We reserve the right to update these Terms and Conditions at any time. Continued use of our services after any update constitutes your acceptance of the revised Terms. We will notify registered users of material changes via email or in-platform notification.
